Terms of Service for MaiTeams LLC

Welcome and thank you for your interest in MaiTeams LLC. ("MaiTeams", "we", "us" or "our"). This Terms of Service Agreement ("Terms of Service", and together with any applicable Supplemental Terms, the "Agreement") describes the terms and conditions that apply to your use of our website, applications, and services. Please read this Agreement carefully. By accessing or using the Service, you agree to be bound by these Terms.
Important: This Agreement contains an arbitration agreement and class action waiver. Please read Section 20 carefully.
The Service and its content are protected by intellectual property laws. Your right to access and use the Service is subject to this Agreement unless otherwise agreed in writing.
- Application License: You are granted a limited, non-exclusive, non-transferable, revocable license to use our applications for your personal or internal business purposes.
- Supplemental Terms: Certain features may be subject to additional terms, which will be presented for your acceptance as needed.
- Updates: MaiTeams may update the Service at any time. You may need to update third-party software to continue using the Service.
- You may be required to register an account to access certain features.
- You must provide accurate and current information and maintain your account security.
- MaiTeams reserves the right to suspend or terminate accounts for violations.
- You may need to link third-party accounts (such as Gmail, Google Calendar, social media platforms) to use certain features of the Service.
- The Service uses third-party technology, including AI models, and your content may be shared with these providers as needed to deliver the Service.
- You are responsible for providing the necessary equipment and software to access the Service.
Gmail Integration Specifically:
- Authorization: By connecting your Gmail account to MaiTeams, you authorize us to access your Gmail data (send and read emails) as described in our Privacy Policy. This authorization is granted through Google's OAuth 2.0 protocol.
- Your Responsibilities: You are solely responsible for all emails sent through the MaiTeams interface using your Gmail account. You agree to comply with Gmail's Terms of Service, Acceptable Use Policy, and all applicable laws when using our Gmail integration features.
- Accuracy of Information: You represent that you have the authority to connect the Gmail account you authorize and that all information you provide through our Gmail integration features is accurate and lawful.
- Google API Services: Our Gmail integration is subject to the Google API Services Terms of Service. Your use of Gmail through MaiTeams is also governed by Google's terms and policies.
- Revocation of Access: You may revoke MaiTeams' access to your Gmail at any time through your Google Account settings or the MaiTeams dashboard. Upon revocation, certain features requiring Gmail access will no longer be available to you.
- Service Limitations: MaiTeams is not responsible for any limitations, interruptions, or changes to Gmail's API or services that may affect the functionality of our Gmail integration features. We reserve the right to modify or discontinue Gmail integration features at any time.
- You are responsible for all content you upload or make available through the Service.
- MaiTeams is not obligated to store your content and is not liable for its deletion or accuracy.
- MaiTeams and its licensors own all rights to the Service, except for your content.
- You grant MaiTeams a license to use your content as needed to provide the Service.
- Feedback you provide may be used by MaiTeams without obligation.
By submitting content, you permit MaiTeams to use your name and likeness for attribution. You may request removal of attribution by contacting us.
- Do not use the Service for unlawful purposes or violate any applicable law.
- Do not attempt to reverse engineer, scrape, or exploit the Service.
- Do not upload or share unlawful, offensive, or infringing content.
MaiTeams may monitor and remove content or suspend access for violations of this Agreement.
You are responsible for your interactions with other users. MaiTeams is not responsible for user content or interactions.
The Service may contain links to third-party websites or services. MaiTeams is not responsible for these third-party services.
- Payments are processed by Stripe, Inc. and are subject to their terms.
- Subscriptions automatically renew unless cancelled.
- Taxes and fees may apply. Free trials convert to paid subscriptions unless cancelled.
Monetization features may be subject to additional terms.
MaiTeams uses a credit-based system ("Growth Credits" or "Credits") for certain platform features including lead generation, content creation, and AI-powered services.
13.1 Credit Allocation
- Each subscription plan includes a monthly allocation of Credits as specified in your plan details.
- Annual subscription plans receive a 20% bonus on monthly Credit allocations.
- Credits are allocated at the beginning of each billing cycle.
- Credits do not roll over between billing periods unless otherwise specified in your plan.
13.2 Credit Top-Ups and Purchases
- You may purchase additional Credits ("Credit Top-Ups") through the platform at any time.
- Credit Top-Up pricing may vary based on your subscription tier, with higher tiers receiving discounted rates.
- All Credit purchases are final and non-refundable.
- Credits cannot be converted to cash, transferred to another account, or exchanged for other services.
13.3 Credit Expiration
- Monthly Allocated Credits: Monthly allocated Credits expire at the end of each billing period. Unused monthly Credits do not roll over to the next billing cycle. Your monthly Credit allocation renews at the start of each new billing period.
- Purchased Credits (Top-Ups): Purchased Credits expire twelve (12) months from the date of purchase.
- Subscription Cancellation: If you cancel your subscription, your monthly allocated Credits expire at the end of your current billing period.
- Expired Credits are automatically forfeited and cannot be recovered, refunded, or extended.
- MaiTeams is not obligated to notify you prior to Credit expiration.
13.4 Credit Usage
- Credits are consumed when you use eligible platform features. Credit costs vary by feature and are displayed before use.
- When submitting a job, Credits may be reserved ("held") based on estimated usage. Final Credit charges are applied upon job completion.
- If actual usage is less than estimated, unused held Credits are immediately returned to your balance.
- MaiTeams reserves the right to modify Credit costs for features at any time with reasonable notice.
13.5 Subscription Cancellation and Credits
- Monthly Allocated Credits: Upon cancellation of your subscription, your remaining monthly allocated Credits expire at the end of your current billing period.
- Purchased Credits (Top-Ups): Purchased Credits remain valid for their original expiration period (12 months from purchase date), even if you cancel your subscription. Purchased Credits are preserved and tied to your account.
- Resubscription: If you resubscribe to MaiTeams after a cancellation, any previously purchased Credits that have not yet expired will be restored to your account and available for use.
- No refunds will be issued for unused Credits, including purchased Credit Top-Ups.
- If your subscription is terminated by MaiTeams due to violation of these Terms, all Credits (including purchased Credits) are forfeited without refund.
13.6 No Refunds
- Credits are non-refundable under any circumstances, including but not limited to: subscription cancellation, account termination, Credit expiration, or dissatisfaction with platform features.
- MaiTeams may, at its sole discretion, issue Credit adjustments for documented service issues.
You agree to indemnify and hold MaiTeams harmless from any claims arising from your content, use of the Service, or violation of this Agreement.
The Service is provided "as is" and "as available" without warranties of any kind. MaiTeams is not liable for the conduct of third parties.
MaiTeams is not liable for indirect, incidental, or consequential damages. Liability is limited to the greater of the amount paid by you in the last three months or $100.

This Agreement remains in effect while you use the Service. MaiTeams may terminate your access for violations. Certain provisions survive termination.
The Service is offered from the United States. Users outside the U.S. are responsible for compliance with local law.
Any dispute or claim will be resolved by binding arbitration, with limited exceptions. You waive the right to a jury trial and class actions. See the full Agreement for details and opt-out instructions.

By providing a telephone number, you consent to communications from us. Calls may be recorded for training purposes.
- The MaiTeams Privacy Policy is incorporated by reference.
- Communications may be electronic. You consent to receive electronic communications.
- This Agreement is governed by the laws of Florida. Venue is Brevard County, Florida.

- If any provision is held invalid, the remainder remains in effect.
- This Agreement is the entire agreement between you and MaiTeams.
